If you are accessing the website or engaging services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

• Software maintenance, support, and enhancement

The specific scope, deliverables, timelines, and pricing for any engagement shall be governed by a separate Agreement (such as a Statement of Work or Proposal) mutually agreed upon by both parties. In the event of any conflict between these Terms and a specific Agreement, the Agreement shall prevail to the extent of the conflict.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, technical, or business information shared during the course of any engagement. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or regulation.

This obligation of confidentiality shall survive the termination of any Agreement or engagement for a period of three (3) years from the date of disclosure.

8. Payment Terms

Payment terms for services shall be specified in the individual Agreement or proposal. Unless stated otherwise:

• All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST at prevailing rates).
• Invoices shall be raised as per the milestones defined in the Agreement.
• Payment is due within 15 days from the date of invoice unless otherwise agreed.
• Late payments shall attract interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
• TrioMav Tech reserves the right to suspend services in the event of non-payment beyond 30 days from the invoice date.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• TrioMav Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website or services, including loss of data, revenue, profits, or business opportunities.
• Our total aggregate liability for any claims arising out of or related to the website shall not exceed the amount paid by you to TrioMav Tech (if any) in the twelve (12) months preceding the claim.
• For service engagements, liability shall be limited to the total fees paid under the specific Agreement giving rise to the claim.

You agree to indemnify, defend, and hold harmless TrioMav Tech, its founders, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your use of the website, or your violation of any law or the rights of any third party.

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, acts of government, pandemics, wars, terrorism, strikes, power failures, internet outages, or cyberattacks. The affected party shall promptly notify the other party and make reasonable efforts to mitigate the impact.

TrioMav Tech reserves the right to modify or update these Terms at any time. Changes will be effective upon posting the revised Terms on our website with an updated Effective Date. Your continued use of the website or services after such changes constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically for updates.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

19. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiation. If the dispute is not resolved within thirty (30) days of written notice, either party may refer the matter to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Hyderabad, Telangana, in the English language, by a sole arbitrator mutually appointed by both parties.
